These End-User Terms of Service (“Terms”) constitute a legally binding agreement between:

• Neuralfin Private Limited (“Neuralfin”, “Cruise Money”, “we”, “us”, “our”, “company”),

• the Third Party (“Advisor”, “Manager”, “Distributor”), and

• the Client / End-User (“End-User”, “User”, “You”, “Your”, “Customer”, “Wealth Manager”, “Advisor”),

who uses Neuralfin’s products and services deployed on third-party websites (the “Product” and “Services”).

Please read these Terms carefully before using the Product and Services.

1. Acceptance of Terms

Your use of the Product and Services is governed by these Terms & Conditions and our Privacy Policy (collectively referred to as the “Terms”), which form a contract between You, the Third Party, and Neuralfin regarding Your use of our Product and Services.

By using the Product and Services, You agree to comply with and be bound by these Terms. You also agree to the terms & conditions and privacy policy laid down by the Third Party.

If You do not agree to these Terms, You should refrain from accessing, viewing, or otherwise using the Product and Services.

2. Eligibility

By registering and using the Product and Services, You represent that:

• You are 18 years of age or older;

• You are capable of entering into a legally binding agreement; and

• You are not barred or otherwise legally prohibited from accessing or using Neuralfin and the Services.

  
  

3. License

Neuralfin grants the Third Party and You a non-exclusive, non-transferable license to use the Product and Services under these Terms.

The Third Party and You agree:

• to use the Product and Services as per the documentation and instructions provided by Neuralfin;

• not to modify, copy, disassemble, decompile, or reverse engineer the Services, or permit any third party to do so;

• that if You allow anyone to use the account (including individuals under 18 years of age), You remain responsible for ensuring compliance with these Terms;

• that Neuralfin is not responsible for ensuring You meet the eligibility requirements; and

• to comply with all applicable laws and use the Services only for lawful purposes.

  
  

4. Indemnity

The Customers and Merchants indemnify and shall hold indemnified the Company, its directors, officers, employees, representatives, and agents against all losses, damages, claims, suits, legal proceedings, and liabilities arising in connection with any claim, including but not limited to:

• infringement of intellectual property rights,

• breach of confidentiality, or

• violation of any rights of any third party or of law,
  concerning quality or quantity.

  
  

5. Fees & Payments

Use of the Product is currently free of cost.

However, Neuralfin reserves the right to charge its Client for the use of the Product in the near future. In such a case, only if the Third Party and You consent to paying the fees, shall use of the Product and Services be enabled.

6. Data Security

Neuralfin agrees to take appropriate security measures to protect against:

• unauthorized access,

• unauthorized alteration, disclosure, or destruction of data.

These measures include internal reviews of data collection, storage, and processing practices, including appropriate encryption and physical security measures.

However, regardless of the precautions taken, Neuralfin cannot ensure or warrant the security of any information You transmit to us, and You transmit such information at Your own risk.

7. Your Responsibilities & Liabilities

You and the Third Party may use the Product and Services for lawful purposes only, and agree to comply with all applicable laws, rules, and regulations.

You and the Third Party agree that You will not:

• reproduce, duplicate, copy, sell, trade, or resell the Services for any purpose;

• use outputs of the Services in general mailings, mass communications, or advertisements without the express written consent of Neuralfin.

The Third Party agrees to provide accurate and correct information about:

• identity, firm details, and

• registration status as a registered representative, registered investment advisor, registered insurance agent, or administrative/operations assistant thereof.

The Third Party specifically agrees:

• not to use automated means (scripts, web crawlers) to access the Services; and

• not to interfere with or disrupt the Services, servers, or networks.

You and the Third Party may not submit, transmit, or engage in conduct that:

• contains viruses or malicious code intended to disrupt or limit system functionality;

• violates these Terms or any policy/guidelines;

• damages, disables, overburdens, or impairs servers or networks;

• attempts unauthorized access via hacking, password mining, or other means.

Neuralfin may take legal and technical remedies to prevent violations and enforce these Terms.

8. Termination Policy

The Third Party and You may request cancellation of registration by emailing: connect@neuralfin.tech

Termination is deemed effective upon receiving confirmation from Neuralfin that the cancellation has been processed.

If an account is terminated due to violations of this Agreement, Neuralfin may keep certain registration information active to prevent re-registration.

9. Disclaimer of Warranties

To the extent permitted by applicable law, You expressly understand and agree that the use of the Product and Services is at Your sole risk, and they are provided on an “AS IS” and “AS AVAILABLE” basis with all faults.

Neuralfin does not represent or warrant that:

• the Product/Services will meet Your requirements;

• any information obtained through the Product/Services will be accurate or reliable;

• defects will be corrected; or

• the Product/Services will be uninterrupted, timely, secure, virus-free, or error-free.

  
  

10. Limitation of Liability

Any investment action taken by the Third Party and You is entirely Your own responsibility.

Neuralfin shall not be responsible for:

• any investment decisions,

• damages, or losses arising from decisions taken using the Product or Services, or

• use of any other services provided herein.

In no event shall Neuralfin (including its owners, directors, employees, partners, or contractors) be liable for any:

• special, incidental, indirect, consequential, or punitive damages,

• loss of data or profits, goodwill, or intangible losses,
  whether foreseeable or not, even if advised of the possibility, under any theory of liability.

Neuralfin does not take responsibility for content posted by users of the website in any forums. Users should report abuse or unauthorized activity by contacting: connect@neuralfin.tech

Neuralfin will not be liable for:

• changes to the Product and/or Services, or

• any permanent or temporary cessation of the Product and Services.

  
  

11. Disputes and Arbitration

Any dispute arising out of or in connection with these Terms (“Dispute”) shall be resolved amicably.

If not resolved amicably, disputes shall be exclusively and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, including amendments or re-enactments.

• Arbitrator: Single arbitrator, appointed as per the Act

• Seat/Venue/Place: Mumbai

• Language: English

• Award: Final and binding from the date it is made

  
  

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the jurisdiction of Mumbai Courts.

13. Confidentiality

You and the Third Party agree to keep confidential all information relating to Neuralfin’s financial affairs and business matters, including:

• research, development, products, software, source code, trade secrets, forms, procedures, and business affairs.

You and the Third Party shall not disclose, reproduce, or distribute such information to any party.

You may comply with a valid legal process or government order, but must notify Neuralfin immediately (where permitted by law).

Upon termination, both Neuralfin and Customer agree to maintain confidentiality of all confidential information received.

14. Force Majeure

No party shall be held responsible for delay or failure to perform due to causes beyond its control, including but not limited to:

acts of God, war, terrorism, government actions, fires, storms, floods, epidemics, riots, embargoes, viruses, unauthorized access, system failures, maintenance downtime, communication failures, unusual traffic volumes, theft, market volatility, or suspension of trading.

Neuralfin cannot ensure uninterrupted or error-free access to the Services, and access may be delayed, limited, or unavailable at times.

15. Waiver

Failure by Neuralfin to enforce strict compliance with these Terms shall not be construed as a waiver of Neuralfin’s right to enforce compliance in the future.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain valid and enforceable.
